Wiped/cleaned off the the bottom of the heat sink and the top of the processor then applied a nice clean coat of new compound to the processor and reattached the heat sink on top of it! I've done this before. Glad I HAD to check it - the old compound was really dry and come in a number of areas!

Its my understanding the heat sink compound is almost a must----without heat isn't transferred away from the CPU effectively enough for proper and long term healthy operation.
