No there aren't really any downsides. Some folks worry about rain/snow getting in there, but I've only ever heard of one person ever having an issue with this and it was in a very long, very heavy snow storm.
Not sure if it'd help with your engine... depends on where the air filter is. I'm not familiar with your setup.
