Mileage alone does not indicate whether or not an engine needs a rebuild. An engine driven mostly on the highway with frequent oil changes could be in great condition. On the other hand, one that is driven on very short hops without adequate oil changes could be trash at 40,000 miles.

The only way to know this is with a compression check and or cylinder leak down test. The other indication would be oil pressure.

how much difference would headers and a new carb make on power or mileage? or would you need a new intake too?

well ive done a new intake and carb on my 400 and i noticed a huge difference. u wouldn't have to do a new manifold if u get a new 2bbl. i would recomend a new manifold and a 4bbl carb if u want the full effect. jjust dont get to big of a carb keep it small or u will kill your milage. i have a edel. 600cfm and didnt loose any milage with the swap. as long as i keep my foot out of it i get better than i used to. the headers expect to gain about 10-15 horsepower.
