When driving it will shift from 2 or 3 I don't remember to the next gear and for a split second down shift and then back up. like it was at the shift point and it cant make up its mind. Happens only when I'm speeding up at a slower pace. If I am on it then nothing happens. I had to much ATF in the trans and drained it down but no change. It does not happen every time but I can make it happen.
I have the 6.0 cooler on it and it has a chip. I have not turned it off to see if it changes anything. Fluid is clean and I have a filter in the system.
It could be the chip, it could also be the torque converter unlocking and relocking during the shift. About the time your truck was built there was some problem with the unlock/relock. It's mostly a problem in the programming. It won't hurt it, but I agree that it's annoying.

I believe I have the same problem but from 3 to 4th gear. It's shifts, RPMs go down, then back up, then down. I thought it was a slip issue but I just got it rebuilt. The owner of the shop was out today so I haven't got to talk to him. His helper acknowledged it but felt it was the computer telling it to shift that way. Is this he same issue?
I think what you're describing is what I always assumed was the torque converter doing funny things. Mine did that frequently from 2nd to 3rd I think. I figured it was normal for the E40D.

A good transmission shop should be able to take that truck for a test drive and override the computer that controls the shifting effectively manually shifting the truck with something they'd plug in.
That'll determine whether it's an internal transmission issue or an issue with the truck telling it when to shift.
