was wondering about the amount of trans fluid in it now, i have the Therm bypass on the system and if when it turns cold will that make the trans have to much trans fluid in it. Also seems like with the inlets facing down,that all that fluid drains right back to trans pan and makes it to full at start up?

The fluid won't all drain back to the pan-the bypass valve when closed will hold the fluid in the cooler. The fluid in the pan at startup isn't an issue-every trans made is "overfull" at startup. That's why you always check fluid level with the engine running so the pump, lines, and torque converter are filled from fluid pressure.

Regarding which way up, I have experienced loss of cooling capacity when a plate style is mounted with both fittings pointing down. Air would accumulate in the top half of the cooler and not flush out. It can be detected by checking temperature of the cooler. Where air is trapped, cooler will not feel as hot.
I now mount them with fittings pointing sideways - fluid entering into the bottom, exiting from the top. That continuosly purges the air out.
Regarding the where, I found there was LOTS of space between the A/C condenser and radiator on my '99. Just fabbed up a couple steel bars to support it in there.
