4R100 issue. please help

I just replaced the tranny in my 2001 7.3. my guess is Diode issue with the first one- had all the signs, o/d light flashing, not shifting correctly through 1st and 2nd. Put in another tranny off another truck- 3 weeks later I'm dealing with this again ONLY THIS TIME there was a clicking noise from under the dash when the truck didn't want to shift out of 1st- sounded electrical. I looked on some threads and possibly BITS or solenoid fried? or is the computer fried causing the tranny to shift incorrectly? 3 weeks with new AT fluid and its brownish/black. Also, fairly certain gears welded together because every gear is 1st gear now, including park, reverse and neutral. I owe $3,750 on the note. Trying to identify the exact problems, see how much everything is going to cost and figure out what to do with this truck. She's still got plenty of life if the trans/computer problems could be solved for good. Current mileage 117,000. HELP! Thanks, Colin
