'95 E4OD shifting trouble

shifting problems on my '95 f-150 (5.8L 4x4 w/towing pkg). first rebuilt now at 200,000 miles, leading up to that everything worked pretty good yet all gears would shift & nothing slipt except every once in awhile it took along time to shift from 1st to 2nd and when it would shift it would slam. the rest of the up shift would be smoother but i would notice some jerkiness. then just like that it would be fine & everything back to normal then thinking that it's time for the rebuild. once i got the rebuild done everything was good except that same shifting problem still came back. so i played with it a bit on a back road & when it would do it the overdrive off light would flash. so i'd put her in neutrel, turn the engine off then start it back up & it shifts fine again until it decides to act up. also not as often but the exact opposite would happen, it would shift real quick & before you know it your in 3rd gear @ 20 mph. (lol). it seems to me that its something electronic going out, i'm not too familiar on the electronic end of this trans, any thoughts of what it could be ? thanks for any help.
