I personally would not do it.

The upkeep on the '97 will cost you an arm and a leg.

at 315k mi the 7.3 PSD is just getting broke in. All the other components though could need attention. But at 315k I'm sure alot of the components have already failed and been replaced. If you're seriously considering it, make sure to see some papers on whats been repaired or replaced. If the truck was well maintained, 315k isn't anything to be afraid of. Trucks don't just magically wear out at a certain milestone, but they have to be kept up on nevertheless. Age is just as bad or worse on trucks, yet the sixth generation of Ford still lives on heartily!
