Those holes are optional and for the aluminum trim panel that goes in the middle (which I also have). I have an OEM one just like it on my truck without the holes.
I was going to put that one on my truck, but I found another mint one without the trim panel that I used instead.

Remove the tailgate handle bolts, and let it drop down. you will see two rods with plastic clips. Remove the rods from the clips and handle, and remove handle.
Remove the bolts from the latches on the side of the tailgate. Pull straight out the side. Latch and rod assymbly will come out in one piece.
