i have a BII with no motor it has everything for the 2.9 but the block i'm having problems finding a decent 2.9 block and was wondering if there were any other motors i might swap in instead, looking for ease to convert and easy to find parts... my BII is an automatic and i don't plan to convert to a manual...
If you get the entire engine management system, the 4.0 OHV drops in very nicely. The main downside I see to this is that you'd probably want to rebuild your A4LD to 4.0 specs so it will handle the added torque of the 4.0.

Up through '94, the 4.0 used the same A4LD that is behind your 2.9. The only differences are internal: the 4.0 A4LD has some upgraded parts to help it hold up better to bigger engine. But it's the same transmission.

how well do the motor mounts line up, and are there any clearance issues/problems?
I haven't done this swap, but those who have report that it is nearly a bolt in affair. The motor mounts are the same, and the bellhousing bolt pattern is the same.
I know there are users here who have performed this swap, and others all over the net. Try FTE's search engine and your favorite internet search engine and you should find plenty of information.

The engine management system consists of all the sensors, actuators, computers, and wires that are used to run the engine. PCM is below the glove box, ICm is next to the radiator, sensors and such are all over, and the wires are strung all over creation. The 2.9 and 4.0 use very different systems, and aren't readily compatible.
Can the 4.0 be converted to carb? Anything is possible with enough time, money, resources, and ingenuity. In all the years that people have been asking this question, I haven't seen anyone selling a bolt on kit for putting a carb on the 4.0. If you have the necessary tools and expertise to build your own intake, you can do it. If you are looking for a kit, then you're likely going to be dissappointed.
