97 e40d downshift trouble??

97 e40d downshift trouble??
here's the scoop.
97 F250 hd/ 460/ 181K/ E40D
Trans replaced at stealer 35,998 miles. This trans has 145,000 miles. with regular maint.
The Issue: Down shifting from 4th into 3rd it makes a "shudder" sound. and I can feel it slipping. Shudder as in a grinding sound or gurgling fluid. it does it for just a second then locks up and away we go.
It shifts otherwise like it always has, never made a sound going into 4th. Only does it while down shifting. Took it out of OD and it will do it from 3rd to 2nd. this morning. I changed the fluid and filter yesterday.
I checked the Archives, and did a search like a good lil newb. made it to 135 of 500 posts. Nothing describing my issue of downshifting, only up shifting.
Help !... can it be as simple as the torque converter???

mmmmm.....i had a 1995 f350 with this trannie in it, it went out at 122k. and i will say, one of the things it was doing before it went was kind of what your describing now.
i should have taken it in to the trans shop, but i kept driving it, then one day...BOOM! and trans fluid came pouring out all over the ground, then it caught fire from it spraying on the exhuast, gut the fire out with no harm done.
it had to get everything replaced, expensive! so my advice to you is take this thing in before it costs you more money than it should.
as far as what is it exactly, i don't know.
