Doesn't sound like a terrible price depending on location. I'd jew him down to $500, I'm sure he'd take it. What are other places selling them for? How far away are you willing to drive to get a better deal? Don't forget to add in the price of fuel if you find one farther away too.

He say he will drop it down to 350$ if I buy it tomarrow. Drive is not far. How much would the other stuff run me? Clutch assembly and slave cylinder what else?
Go ahead and replace the front and rear seal too, install new fluid as well. Better to be safe than sorry. Depends on what brand of clutch kit + extras you plan on getting but I'd estimate @ $300

so total for swap about 700$ (with fluid and seals) sounds like a good deal but im not really looking to do the swap (yet) just thinking it would be good to have when i do plan on doing the swap. how hard is doing the change?
It's not the worst job to do, getting it out won't be a problem. Getting it back in will be. It's all gravy aligning the clutch with the tool and torquing it down. But if you don't have a transmission jack that pivots, getting the transmission back up & in can make you want to

Stupid question, does it match your setup? (4wd or 2wd) Because that could screw you up there too. And depending on what you have now, you probably need different driveshafts, so that can raise the cost too.
NO
Do a search, some of the holes line up, others don't. There are 3 versions of the ZF5. small block gas, big block gas, and diesel. Then you have to look at 2wd vs 4wd, so I guess that makes it 6 versions....
BTW the F-Superduty (f450) ZF5 that has the driveline brake is a 4wd tranny used in a 2wd application. Pull off the brake, and a transfer case can bolt up.
Cross member... ummm not sure, depends on what you have. The manual ones might be the same, but the e40d takes a different one than ZF5. 2wd is different from 4wd. I can't remember what the markings on mine said when I had it off.
Ok the posting on craigslist said it was on a diesel then went to a 460 and the moter gave out and was going to go on another diesel but project never got completed. I have the e4od right now.
this is off chilton pro... says 7.5 and 7.3? so whats the difference between gas and diesel?

the belhousing bolt pattern is different between the diesel and gas engines.
there are people on the internet that swear all you have to do is redrill the bellhousing and it will fit, because they heard of a friends cousins friend that did it. but anyone that has actually tried drilling a bellhousing to adapt it for a different engine will tell you that they ruined a perfectly good trans housing.
