Pretty much a bolt-in. Motor mounts, bell housing is the same, most of the accessories bolt up, exhaust manifolds are the same but will be a little farther apart and a little higher on the engine because the 351W block is a little taller. I belive the interchangeability of the flywheel/flexplate depends on the year.

You will need a different power steering mount and a new y-pipe. The alternator mount will fit both engines. Flywheels only changed on the 302 after 81, so your 77 flywheel will fit any year 351w. Easy fun swap!
