Have a 98 F150 4wd with 75k miles
3rd gear appears to be gone (just revs up like in neutral)
Fluid is brown colored.
No problem codes.
Any opinions whether I should get it rebuilt for $2,000+ or buying a replacement unit from Ford for $3,000.

Well, brown fluid is usually a bad sign. Means your fluid is either really old or burnt. Since you are missing a gear I would guess burnt and your clutches are gone.
Depending on how long you plan to keep it and what you do with your truck, deciding on rebuilds versus new is kind of tough.
If it was me, I would have a rebuild with upgraded components. But you need to have a shop you have confidence in to do the work. And it may cost more than your estimate.
You won't go wrong with the factory new, but if you do any towing or racing, the factory one won't have the uprated components you might want.
Also, until they tear the tranny apart, your $2000 estimate is ballpark. If any hard components are gone, the price starts to increase.
Had mine rebuilt and it cost $3000.00. I had them do as much as they could to make it bullet proof. An aftermarket torque converter cost around $800.00 compared to a ford reman for around $200. Jim Henderson is right, you need to decide on what you're plans are with the truck. Whatever your decision, install a tranny cooler. If it already has one, consider a bigger one. Whoever does the transmission for you should be able to get one and install it for you, unless you want to do it yourself.
