My 94 with the E4OD won't go into overdrive when EXTREMELY cold either. If i pull onto the highway it takes a couple of minutes before it will shift. The tach will show about 2800-3000 then drop down to 2100 or a little lower depending on my speed. I read somewhere that it won't shift in until the transmission reaches a specific temperature. (it might have been here on the forum someplace)
Mine has done it since I bought it with 61000 now I have 102 and no problems. Od works perfectly after it warms up for a couple of minutes.
Unless it takes an unusually long time to shift or has any other problems I wouldn't worry.
