As far as I know, the answer is no to your questions. The 2.8 and 4.0 have a different valve arrangement among other things so that's not going to work. The ports are aligned differently.
The 4.0, being strictly an EFI engine, has very little demand for a carbed intake. EFI is just the way things have gone and if you want to put a carb on a computer controlled engine, you'll just have to fabricate the intake yourself. There's no distributor either, it's a computer controlled crank trigger ignition. There are just a bunch of obstacles to get in the way of trying to convert an EFI engine to carb. You'd be better off to spend the time learning about EFI. Here's a good start:
