E40D slip and OD problem

E40D slip and OD problem
1994 F-250 2X4
7.3L IDI Turbo
240,000 miles
When i take off from a stop or go around a corner and get back on the gas, the trans slips. The enging revs for a second and then the trans catches.What is this from? I've done a search but haven't found an answer.
Also when I'm cruisin around 40-45 mph the trans makes this loud grindin noise, like maybe its going in and out of OD. Not really sure whats going on, but the speedo shakes when it does it. It stops if I put the pedal down. Its almost like comp doesn't know what gear to be in.
Hopefully these aren't tell tale signs that its about time for a rebuild, but any help is greatly appreciated.
