The last couple of days I"v been hearing a ticking sound and I can't find were its coming from it only happens when I get on the gas around 35. Then to day when it started doing it agean (sp) I could hear the engine reve up but nothing happened so I'm thinking it might be the tranny. Is there any thing else it could be or why it does this?
Alot of 300's as they get older start ticking. It is usually the lifters or an intake/exhaust leak. yours sounds like an exhaust leak the way it does it under load.
Is there a heat shield on the exhaust system? If so, it may be doing a harmonic rattle. You can remove it (not recommended), or weld it, or use large hose clamps or wire wrapped around it to make it stop. My 2.3 catalytic shield rattled, at 1500 rpms more so than other (except also at 3k), so I used wire wrapped fore & aft, twisted tight with pliers, and that quieted it down...

I don't think driving around with an exhaust leak does much but if you have it upstream of your O2 sensors ( i have two on mine), it might lean out the exhaust mixture a bit resulting in your pcm to respond with a closer fuel to air ratio; poorer fuel economy. Another one I've heard is that an exhaust leak can burn out your exhaust valves. I dont know if they are true or not but worth pondering.

I think you can burn valves when running an open exhaust. It's something to do with the necessary back pressure missing. I have never heard that an average leak would cause valve damage.
open exhaust...can but how far up the line it is depends. if its after the cat than no.
can u get it to "tick" at a certain RPM? if so then have someone hold it there and with some sorta of metal rod probe around and use the rod to listen for the tick. just be careful and dont get sucked into the fan/belt or burnt, lol.
