I've had numerous small problems with my 04 6.0, ranging from two different ICP's being replaced, blowing turbo hoses, bad turbo lag, computer flashing problems, A/C issues, to, of course, the major tranny recall. My wife and I have very little confidence left in this rig....10 trips to the dealer in 10 months. Love the rig, hate the computer/engine/tranny problems. Maybe it was built on a Friday or a Monday?

Granted, I might be exchanging one problem for another....but the odds are the next one won't have a single problem, I know that the vast majority of rigs are great machines without any issues.
That sounds like a heck of a deal to me... if you can afford the depreciation on your truck (but he's minimizing that every way he can, looks like to me.)
Sorry to hear about the problems you've had w/ the '04. I'd definitely jump on that deal but I'd check real closely on the "private-party bluebook trade-in value" as that can vary widely. Check nada.com and KBB.com and talk w/ any friends you may have at the bank or in the car business to get a proper value. Good luck.
IMHO I'd jump on that deal in a heartbeat.. Basically crediting you their holdback, they're not making anything on the 05. Giving you the higher trade-in value is another plus for you.. I can't find any hidden "catches" in the deal as you've posted.. I think a totally new rig would really restore your faith in the blue oval.. One thing I would do though, is see if you can transfer any extended warranty you may currently have or get a break on a new one..
I have an 04 and an 05, my 04 has had some problems, still I like it, but my 05 has been bug free now for 7,000 miles. Plus the improvements of the 05 are great.
I would see if he will do it on an '06, might as well get the current model year. It sounds as if he is trying to save you the hassle of DSB or Lemon law which is 3 points in his favor.
There are enough upgrades on the '05/'06 to offset some of your $$ loss on the trade. Be sure and get the tow haul feature.....
