There'supwards of $1000 dealer cash on these, so if that's what the dealer is figuring he qualifies for, then he's really selling it for invoice, and giving you the $5000 in Ford rebates.
Can he do better? Probably, but how many 04's does he have, and how many are available in your area? If this is the only one, you risk losing it by waiting. If there are more available, and you can live with the color/ option combinations, I'd be tempted to wait. The 2006 Expy will come out early, so I wouldn't be surprised to see the incentives go higher on the '04s in the near future.
There are still a fair number of '04s in various configs in the area (at least 30 in easy driving distance), but my timeline is short. My Windstar died last week and I am forced to drive a Dodge Caravan (Ptooey!) and pay $250/week for the privelege until I take delivery on my new vehicle.
This puts me in a somewhat awkward position. I will still shop this price around a bit.
Just out of curiosity, what would you ballpark a '98 Windstar GL with 109k and a tranny that won't shift at for trade-in. The NADA and KBB trade in prices are around 3K with the mileage before the trans is factored in.

Even if the tranny shifted, you wouldn't get $3000 for it against invoice. KBB and NADA trade-in values figure you're paying MSRP for the new vehicle. Here in NY, that's a $1500-$2000 vehicle at auction WITH a good tranny. If it's going to take $1500-$2000 to rebuild the tranny...........well, you can do the math from here. Sorry.
