2000 Pro vs XP Pro Memory usage

2000 Pro vs XP Pro Memory usage
I'm currently running 2000 Pro and it's working fine. I'm looking to upgrade the computer and I'll be going from 1/2 gig ram to about 2 gig ram. I've been told that 2000 won't use that much ram, so it'll be a waste.
I don't want to upgrade the OS without a good reason, so how much ram will 2000 pro use. My current mem usage runs in the 200~450K range
I really don't want to upgrade to a new OS that'll just be a mem hog and XP requires that you buy a copy for each hard drive that you install it on, I have 2000 installed on about 4 hard drives (for backup) and don't want to mess with an upgrade that won't really do me any good.
The target system will probably be a dual core with 2 gig ram.

Here's a link to a shot of my Task Manager with WinXP Home SP2, fully updated, and all the regular stuff I run such as AVG, FTE, etc.
This system has no probs running memory intensive apps such as BF2 with memory to spare.
