Jim, I replaced a 302 with a 351W on my 68 Cougar. Everything bolted right in except for the exhausts. The 351 is wider so you will have to rework headers.
Like John said its pretty much a bolt in swap. The 302 and 351 are basically the same engine, except the 351 has taller deck height. The taller deck height results in the 351 being taller and wider, which might cause problems in some tight engine bays, but your truck had plenty of room under the hood.
You can use most everything currently bolted onto your 302 to install the 351. It'll bolt right to your existing engine mounts and transmission. Depending on what you have for exhaust you might even get lucky there and just have to adjust the pipes a bit. Assuming your current headers/manifolds are worth saving and you can afford the down time to wait for replacements if they don't fit, I'd certainly give them a try before buying new ones.
